1. Agreement
These Terms are a binding contract between you and ASSISTTECH CORP., a New Jersey corporation ("AuraStyle", "we", "us"), governing your use of the AuraStyle mobile application and related services (the "Service").
By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.
Our Privacy Policy is incorporated by reference.
2. Eligibility
You must be at least 13 years old (16 in the European Economic Area and United Kingdom) and legally able to enter a contract. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms. If you use the Service for an organisation, you represent that you may bind it.
3. Your account
You are responsible for the accuracy of your registration information, for keeping your credentials confidential, and for activity under your account. Tell us promptly at support@assisttechcorp.com if you suspect unauthorised use. We may suspend or terminate accounts that violate these Terms, are used unlawfully, or create risk for us or other users.
4. What the Service is, and what it is not
AuraStyle analyses your stated and inferred style preferences and recommends clothing available from third-party retailers.
The Service provides suggestions, not advice. Match percentages, outfit generations and style reports are algorithmic estimates. They are not professional styling, tailoring, sizing, medical or financial advice. Fit guidance is approximate and is not a substitute for a retailer's own size chart. You are solely responsible for your purchasing decisions.
5. Photographs you upload
You retain all rights in any photograph you submit.
You grant us a limited, non-exclusive, worldwide, royalty-free licence to process that photograph in memory, for the sole purpose of computing style attributes, for the duration of that single request. This licence terminates automatically when processing completes, which, as described in the Privacy Policy §4, is when the image is destroyed.
We do not acquire the right to store, publish, distribute, sell, or train generalised models on your photographs, and we do not do so.
You represent that you own or have permission to submit each photograph, and that submitting it does not violate anyone's rights. Do not upload images of other people without their consent, images of minors, or unlawful content.
6. Your other content
You retain ownership of wardrobe entries, names, notes and preferences you create ("Your Content"). You grant us a licence to host, store, reproduce and display Your Content solely to operate the Service for you. You are responsible for Your Content and confirm you have the right to submit it.
7. Acceptable use
You agree not to:
- reverse engineer, decompile or attempt to extract our source code, models or matching algorithms, except where that restriction is prohibited by law;
- scrape, crawl, or use automated means to access the Service, or circumvent rate limits, quotas, or the free-tier restrictions;
- resell, sublicense or commercially exploit the Service or its output;
- upload malware, or attempt to gain unauthorised access to our systems or another user's account;
- misuse the affiliate system, including generating artificial clicks or attempting to self-attribute commission;
- use the Service to infringe intellectual property or privacy rights, or for any unlawful purpose;
- remove or obscure any proprietary notice.
8. Affiliate links and third-party retailers
AuraStyle earns affiliate commission on qualifying purchases made through links in the app. Commission is paid to us by the retailer or by the affiliate network that represents it. It does not change your price and does not influence your recommendation ranking.
Products are sold by third-party retailers, not by us. We are not a party to your transaction. We do not control and are not responsible for: product availability, accuracy of prices or descriptions, quality, authenticity, shipping, returns, refunds, warranties, or retailer customer service. Product information is supplied by retailers or their feeds and may be out of date or incorrect, always confirm details on the retailer's own page before buying.
Disputes about an order are between you and the retailer, under that retailer's terms and privacy policy.
8A. AuraCoin and sharing rewards
8A.1 What AuraCoin is
AuraCoin is a promotional loyalty balance inside the app. It is not money, not a stored-value instrument, not a security, and not redeemable for cash. It has no value outside AuraStyle, cannot be transferred or sold, and we may discontinue the programme at any time as described in §8A.7.
One hundred AuraCoin corresponds to US$1.00 for the purpose of ordering a gift card. That rate is fixed; we will not reduce the value of AuraCoin you have already earned.
Gift cards are issued in fixed amounts (currently US$20, $50, $100, $200 and $500). A balance may be taken as more than one card, for example a balance of US$140 may be ordered as one $100 card and two $20 cards, and any amount left over stays in your balance for next time. We may change the available amounts, but not the value of coins you already hold.
8A.2 How AuraCoin is earned
If you share a product link from the app and another person buys through it, you may earn AuraCoin calculated as a share of the affiliate commission that purchase generates for us. The share rises with the order value, on a scale shown in the app.
Not every shop takes part. Some shops' affiliate programmes prohibit rewarding a shopper for buying, and some pay too little for a share of it to be worth anything. Items from those shops earn no AuraCoin and say so on the product itself, before you share it, and the app can filter the feed to the ones that do earn.
8A.3 Your balance has three stages, and only one can be cashed out

Only Available AuraCoin can be redeemed. Retailers commonly take one to four months to approve and pay a sale, and some take longer; the app shows a typical wait per shop. We do not pay out against money we have not received.
8A.4 Reversed sales reduce your balance
If a purchase is returned, cancelled, charged back, rejected by the retailer, or reversed for any reason, including after we have paid you, the corresponding AuraCoin is removed from your balance. Your balance may become negative as a result. A negative balance is offset against future earnings; we will not ask you to pay us money.
We do not control these decisions. The retailer and the affiliate network do. Where a sale is reversed, we lose the commission too.
8A.5 Redeeming
Redemption opens at 2,000 AuraCoin (US$20) of Available balance and pays out the whole Available balance as a gift card. Gift cards are bought after your request, not held in stock, so allow a few business days for delivery. The coins leave your balance when you make the request; if we cannot fulfil it, they are returned.
Gift card availability depends on the issuer. We may offer an alternative card of equal value where a particular one cannot be supplied.
8A.6 Fair use
AuraCoin may only be earned from genuine purchases by other people. It may not be earned by buying through your own links, by creating additional accounts, by paid advertising on a retailer's brand terms, by spam, or by any method a retailer's or network's own terms prohibit. Where we find that a balance was earned this way we may cancel it and close the account. Where a purchase is reversed we apply §8A.4 without needing to show intent.
You must say that you may be rewarded. When you share a link, the person seeing it has to be told that you may earn something if they buy. This is the law where you are sharing, not a house rule: the United States Federal Trade Commission's Endorsement Guides put that duty on the person posting the link. The app writes the disclosure into every message it composes for you, in the message itself and above the link. Do not remove it, and add it yourself if you copy a link somewhere the app did not write the message. Sharing a link without the disclosure is a breach of these Terms and we may cancel the resulting AuraCoin under this section.
8A.7 Changing or ending the programme
We may change the earning rates, the redemption floor, or the shops that take part, and we may end the programme. We will give 30 days' notice in the app before ending it or before a change that reduces the rate at which you earn. AuraCoin already earned stays redeemable during that period. AuraCoin that is still Pending or Confirmed when the programme ends will be honoured if and when the underlying sale is paid to us.
Unredeemed AuraCoin expires 24 months after it was earned if your account has had no activity in that period. We will email you before that happens.
8A.8 Tax
Rewards may be taxable where you live. You are responsible for your own taxes. Nothing here is tax advice.
Past $600 in a calendar year we have to ask you for tax information. If the gift cards you redeem in one calendar year come to more than $600 in total, United States rules require us to report the payments to the Internal Revenue Service on a Form 1099-NEC, and we cannot do that without a completed Form W-9 from you. So the redemption that would take you past $600 is held rather than refused: your AuraCoin has already left your balance and stays yours, we contact you for the form, and the card is issued once we have it. If you would rather not provide it, tell us and we will return the AuraCoin to your balance.
Where any other law requires it we may likewise ask for tax information before paying out, and may withhold payment until we receive it.
9. Intellectual property
The Service, including its software, design, the AuraStyle name and logo, the style taxonomy, the matching system and all generated imagery, is owned by us and protected by intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use the app for your own non-commercial use. All rights not expressly granted are reserved.
Third-party trademarks and product imagery belong to their owners. Their appearance does not imply endorsement of AuraStyle by them.
10. Availability and changes
We may modify, suspend or discontinue any part of the Service at any time. We aim to give notice of material changes but are not obliged to where a change is needed urgently for security, legal or operational reasons. The Service is provided on an "as available" basis; we do not guarantee uninterrupted access.
11. Termination
You may delete your account at any time from within the app. We may suspend or terminate your access for breach of these Terms, unlawful use, or prolonged inactivity, with notice where practicable.
On termination: your licence ends immediately; your account and associated data are deleted as described in the Privacy Policy; §§9, 12, 13, 14 and 15 survive. Deleting your account does not automatically cancel a subscription bought through Google Play, cancel that in your Play account (see §16).
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that recommendations will suit you, that product information is accurate, or that the Service will be uninterrupted, secure or error-free.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURASTYLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Nothing here limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Governing law and dispute resolution
14.1 Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and by applicable United States federal law. The UN Convention on Contracts for the International Sale of Goods does not apply.
14.2 Informal resolution first
Before filing anything, contact us at legal@assisttechcorp.com with a description of the dispute. We will try in good faith to resolve it within 60 days.
14.3 Binding arbitration
PLEASE READ THIS SECTION CAREFULLY, IT AFFECTS YOUR LEGAL RIGHTS.
If we cannot resolve a dispute informally, you and AuraStyle agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator, seated in Hudson County, New Jersey, or by videoconference at your election. The Federal Arbitration Act governs this section.
Exceptions: either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.
14.4 Class action waiver
YOU AND AURASTYLE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable, the whole of §14.3 is void as to the affected claims.
14.5 Your right to opt out
You may opt out of §§14.3 and 14.4 by emailing legal@assisttechcorp.com within 30 days of first accepting these Terms, stating your name, the email on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
If §14.3 does not apply, the state and federal courts located in Hudson County, New Jersey have exclusive jurisdiction, and both parties consent to that venue.
15. Indemnification
You agree to indemnify and hold harmless AuraStyle and its officers, directors, employees and agents from any claim, liability, damage, loss or expense (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms or applicable law, your content, or your infringement of a third party's rights.
16. AuraStyle Premium
16.1 What it is
Premium is an auto-renewing subscription that raises the free-tier allowances. Specifically:

Neither is unlimited on Premium. A scan is processed by a third-party AI model that charges us per use, so the paid plan raises the ceiling rather than removing it. A styled outfit costs us nothing per run; it is limited because of what it is, a complete look chosen out of the whole catalogue and meant to be worn, and five a week is one for each occasion a week usually holds.
Both allowances are shown in the app before you subscribe and are enforced on a rolling window, not a calendar reset: a use becomes available again once the corresponding earlier use is older than the stated period, and the app tells you how many hours that is rather than naming a weekday.
We may change these allowances for future periods; a reduction will be notified in advance and will not apply to a period you have already paid for.
16.2 Billing
- Price, billing period and any introductory or trial terms are shown in the app before you confirm, in your local currency.
- Payment is charged to your Google Play account on confirmation.
- Your subscription renews automatically at the then-current price unless you cancel at least 24 hours before the end of the current period.
- Renewal is charged within 24 hours before the period ends.
16.3 Cancelling
Cancel any time in Google Play → Subscriptions. Cancellation takes effect at the end of the current paid period; you keep Premium until then. Deleting the app or your AuraStyle account does not cancel billing, cancel through the store.
16.4 Refunds
Purchases are processed by Google Play and are subject to Google Play's refund policy. We cannot issue refunds for store-processed purchases directly. Where consumer law grants you a statutory right of withdrawal or refund, that right applies regardless of this section.
16.5 Price changes
We may change the price. We will give you notice in advance, and any increase takes effect only after your explicit consent where the store requires it, or at the start of a renewal period after notice. You may cancel before it applies.
17. Feedback
If you send us ideas or suggestions, you grant us an unrestricted, perpetual, royalty-free right to use them without obligation or compensation to you.
18. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us on this subject.
- Severability. If any provision is unenforceable, the rest remains in effect and the provision is limited to the minimum extent necessary.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may notify you in the app or at your registered email. Notify us at legal@assisttechcorp.com.
- Changes. We may update these Terms; the date at the top will change. For material changes we will give notice in the app or by email before they take effect. Continued use afterwards means acceptance.
